Code of Conduct.

Should we deem, in our sole discretion, your cooperation to be useful with respect to any claim brought against us by a third party, you agree to use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any claim otherwise subject to indemnification by you.

Miscellaneous.
This Agreement is governed by and construed in accordance with the laws of the State of California, United States of America, without regards to its principles of conflicts of law. You agree that the District shall have the right to seek injunctive relief in addition to any other legal or financial remedies to which it may be entitled in the event you breach this Agreement. Other than a legal proceeding where the District seeks injunctive relief, you agree to submit to the exclusive jurisdiction of any State or Federal court located in the County of Santa Clara, California, United States of America, and waive any jurisdictional, venue or inconvenient forum objections to such courts. In the event that the District seeks injunctive relief, the District may do so in any country and jurisdiction that the District deems has the authority to provide the relief sought. If any provision of this Agreement is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed ineffective to the extent of such invalidity and shall not affect the validity and enforceability of the remainder of such provision or any remaining provisions. This is the entire Agreement between the District and any user of or visitor to this Site relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral agreements between us with respect to such subject matter. This Agreement is not assignable, transferable or sublicenseable by you except with the District's prior written consent. The failure of the District to enforce at any time the terms and conditions of this Agreement, or the failure of the District at any time to require your performance of any of the terms and conditions of this Agreement, will not be construed to be a present or future waiver of this Agreement, nor in any way affect the District's ability to enforce this Agreement. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained in this Agreement is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.
